Neighbor-Connect Terms of Use

This agreement (the "Agreement") is entered into by and between you and Neighbor-Connect.com regarding your use of Neighbor-Connect. By using Neighbor-Connect, you are entering into this Agreement with Neighbor-Connect.com and indicating that you agree to be bound by these terms and conditions. In addition, when using particular Neighbor-Connect services, you agree to abide by any applicable posted guidelines for all Neighbor-Connect services, which may change from time to time. Should you object to any term or condition of this Agreement, any guidelines, or any subsequent modifications thereto or become dissatisfied with Neighbor-Connect in any way, your only recourse is to immediately discontinue use of Neighbor-Connect. Neighbor-Connect has the right, but is not obligated, to strictly enforce the terms through self-help, community moderation, active investigation, litigation and prosecution. If you do not agree with these terms and conditions, please do not use the Service. Contact us if you have any questions and/or comments.

1. Description of Service. Neighbor-Connect (the "Service") is a free service from Neighbor-Connect.com (the "Company") that offers a unique way to promote neighborhood collaboration and information-sharing. You understand and agree that the Service is provided on an AS IS and AS AVAILABLE basis. The Company disclaims all responsibility and liability for the availability, timeliness, security or reliability of the Service. The Company also reserves the right to modify, suspend or discontinue the Service with or without notice at any time and without any liability to you.
2. Content. You understand that all postings, messages, text, files, images, photos, video, sounds, or other materials ("Content") posted on, transmitted through, or linked from the Service, are the sole responsibility of the person from whom such Content originated. More specifically, you are entirely responsible for each individual item ("Item") of Content that you post, email or otherwise make available via the Service. You understand that Neighbor-Connect.com does not control, and is not responsible for Content made available through the Service, and that by using the Service, you may be exposed to Content that is offensive, indecent, inaccurate, misleading, or otherwise objectionable. Furthermore, the Neighbor-Connect site and Content available through the Service may contain links to other websites, which are completely independent of Neighbor-Connect. Neighbor-Connect.com makes no representation or warranty as to the accuracy, completeness or authenticity of the information contained in any such site. Your linking to any other webites is at your own risk. You agree that you must evaluate, and bear all risks associated with, the use of any Content, that you may not rely on said Content, and that under no circumstances will Neighbor-Connect.com be liable in any way for any Content or for any loss or damage of any kind incurred as a result of the use of any Content posted, emailed or otherwise made available via the Service. You acknowledge that Neighbor-Connect.com does not pre-screen or approve Content, but that Neighbor-Connect.com shall have the right (but not the obligation) in its sole discretion to refuse, delete or move any Content that is available via the Service, for violating the letter or spirit of this Agreement or for any other reason.
3. Third Party Content, Sites, and Services. The Neighbor-Connect site and Content available through the Service may contain features and functionalities that may link you or provide you with access to third party content which is completely independent of Neighbor-Connect, including web sites, directories, servers, networks, systems, information and databases, applications, software, programs, products or services, and the Internet as a whole.

   Your interactions with organizations and/or individuals found on or through the Service, including payment and delivery of goods or services, and any other terms, conditions, warranties or representations associated with such dealings, are solely between you and such organizations and/or individuals. You should make whatever investigation you feel necessary or appropriate before proceeding with any online or offline transaction with any of these third parties.

   You agree that Neighbor-Connect.com shall not be responsible or liable for any loss or damage of any sort incurred as the result of any such dealings. If there is a dispute between participants on this site, or between users and any third party, you understand and agree that Neighbor-Connect.com is under no obligation to become involved. In the event that you have a dispute with one or more other users, you hereby release Neighbor-Connect.com, its officers, employees, agents and successors in rights from claims, demands and damages (actual and consequential) of every kind or nature, known or unknown, suspected and unsuspected, disclosed and undisclosed, arising out of or in any way related to such disputes and / or our service. If you are a California resident, you waive California Civil Code Section 1542, which says: "A general release does not extend to claims which the creditor does not know or suspect to exist in his favor at the time of executing the release, which, if known by him must have materially affected his settlement with the debtor."

4. Proper Use. You agree that you will use the Service in compliance with all applicable local, state, national, and international laws, rules and regulations. You shall not, shall not agree to, and shall not authorize or encourage any third party to: (a) use the service to harass other users; (b) prevent others from using the Service; (c) use the Service for any fraudulent or inappropriate purpose. Any violation of the above may result in immediate termination of this Agreement, and may subject you to state and federal penalties and other legal consequences. The Company reserves the right, but shall have no obligation, to investigate your use of the Service in order to determine whether a violation of the Agreement has occurred or to comply with any applicable law, regulation, legal process or governmental request.
5. Personal Use. The Service is made available to you for your personal use only. You must provide current, accurate identification, contact, and other information that may be required as part of the registration process and/or continued use of the Service. You are responsible for maintaining the confidentiality of your Service password and account, and are responsible for all activities that occur thereunder. You may only display the content of the Service for your own personal use (i.e., non-commercial use) and may not otherwise copy, reproduce, alter, modify, create derivative works, or publicly display any content, without the prior written permission of the Company.
6. Children's Online Privacy. Due to the Children's Online Privacy Protection Act of 1998, you must be at least thirteen (13) years of age to use this Service.
7. User Representations and Warranties. You represent and warrant that (a) all of the information provided by you to participate in the Services is correct and current; (b) all of the information provided by you about debts and credits between you and other members of the Service is correct and current; (c) you have all necessary right, power and authority to enter into this Agreement and to perform the acts required of you hereunder.
8. Refusal of service; Termination; Suspension. The Company reserves the right in its sole discretion to refuse, suspend, or terminate the Service to anyone at any time without notice for any reason.
9. Privacy. As a condition to using the Service, you agree to the terms of the Neighbor-Connect privacy policy as it may be updated from time to time. We understand that privacy is important to you. You do, however, agree that the Company may monitor, edit or disclose your personal information, including the content of your emails, if required to do so in order to comply with any valid legal process or governmental request (such as a search warrant, subpoena, statute, or court order), or as otherwise provided in these Terms of Use and the Neighbor-Connect Privacy Policy. Personal information collected by the Company may be stored and processed in the United States or any other country in which Neighbor-Connect.com or its agents maintain facilities. By using the Service, you consent to any such transfer of information outside of your country.
10. Warranty. The Company does not represent that the Service is reliable, accurate, complete, or otherwise valid. THE SERVICE IS PROVIDED "AS IS" WITH NO WARRANTY OF ANY KIND AND YOU USE THE SERVICE AT YOUR OWN RISK. NEIGHBOR-CONNECT.COM EXPRESSLY DISCLAIMS ANY WARRANTY, EXPRESS OR IMPLIED, REGARDING THE SERVICE, INCLUDING ANY IMPLIED WARRANTY OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE OR NON-INFRINGEMENT.
11. Damages. UNDER NO CIRCUMSTANCES WILL NEIGHBOR-CONNECT.COM BE LIABLE TO YOU FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL OR EXEMPLARY DAMAGES ARISING OUT OF OR IN CONNECTION WITH USE OF THE SERVICE WHETHER OR NOT YOU HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. UNDER NO CIRCUMSTANCES SHALL NEIGHBOR-CONNECT.COM BE LIABLE TO YOU FOR ANY AMOUNT FOR SERVICES RENDERED PURSUANT TO THIS AGREEMENT.
12. Indemnification. You agree to hold harmless and indemnify the Company, and its employees, agents and representatives, from and against any third party claim arising from or in any way related to your use of the Service, including any liability or expense arising from all claims, losses, damages (actual and consequential), suits, judgments, litigation costs and attorneys' fees, of every kind and nature.
13. Liability. To the maximum extent permitted by applicable law, you hereby release, and waive all claims against Neighbor-Connect.com and its employees and agents from any and all liability for claims, damages (actual and consequential), costs and expenses (including litigation costs and attorneys' fees) of every kind and nature, arising out of or in any way connected with use of the Service.
14. Modifications to the Agreement. The Company shall have the right to modify the terms of this Agreement at any time. The new agreement shall be effective immediately.
15. Severability. If any provision of this Agreement is held to be invalid or unenforceable, such provision shall be deemed superseded by a valid enforceable provision that most closely matches the intent of the original provision and the remaining provisions shall be enforced.
16. Exercise. The failure of the Company to exercise or enforce any right or provision of these terms and conditions shall not constitute a waiver of such right or provision.
17. Choice of Law; Jurisdiction. This agreement shall be interpreted in accordance with the laws of the State of California without regard to its conflict of law provisions.
18. Entire Agreement. This Agreement constitutes the entire agreement between Neighbor-Connect.com and you with respect to the subject matter hereof.
